These Terms and Conditions ("Terms") govern your access to and use of the website axiondeepdigital.com ("Website"), the DeepAudit AI SEO audit tool ("Audit Tool"), and all related services (collectively, "Services") operated by Axion Deep Labs, Inc., doing business as Axion Deep Digital ("we," "us," or "our"), a New Mexico C Corporation located at 5045 El Camino Real, Las Cruces, NM 88007.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Description of Services

Axion Deep Digital provides:

• DeepAudit AI — A free SEO audit tool that analyzes websites using real browser rendering, runs 60+ automated checks, and generates reports with AI-powered recommendations.
• Web Development Services — Custom website design and development using modern frameworks including React and Next.js.
• SEO Services — Technical SEO, on-page optimization, and search engine optimization consulting.
• Lead Capture Solutions — CRM integration and automated lead capture systems.

2. Free SEO Audit Tool — Terms of Use

2.1 Fair Use

The Audit Tool is provided free of charge with a limit of 3 audits per day per IP address. This limit exists to ensure fair access for all users and to prevent abuse of our infrastructure. Circumventing rate limits through IP rotation, proxy services, VPNs, or any other means is prohibited.

2.2 Permitted Use

You may use the Audit Tool to analyze websites that you own, operate, or have authorization to audit. The Audit Tool is designed for legitimate SEO analysis purposes. You agree to use the tool only for lawful purposes and in compliance with all applicable laws and regulations.

2.3 Prohibited Use

You may not:

• Use the Audit Tool to perform security testing, vulnerability scanning, or penetration testing on websites you do not own or have authorization to test
• Use the Audit Tool to scrape, harvest, or collect data from third-party websites for purposes other than SEO analysis
• Submit URLs that resolve to private IP ranges, localhost, internal networks, or cloud metadata endpoints
• Attempt to overload, disrupt, or interfere with the Audit Tool or its underlying infrastructure
• Circumvent rate limiting or access controls
• Use automated scripts, bots, or crawlers to interact with the Audit Tool without our prior written consent
• Resell, redistribute, or white-label audit reports without our prior written consent
• Use the Service to engage in any activity that violates the rights of third parties

2.4 Audit Reports

Audit reports are generated based on automated analysis at a single point in time. Results may vary depending on server load, network conditions, geographic location, and website configuration. PDF reports are stored for up to 30 days and then automatically deleted. Shared report links expire after 7 days.

2.5 AI-Generated Content

The Audit Tool uses artificial intelligence (DeepSeek) to generate title tag suggestions, meta description rewrites, and prioritized action plans. AI-generated content is provided as suggestions only and should be reviewed by a qualified professional before implementation. We make no guarantees regarding the accuracy, effectiveness, or suitability of AI-generated recommendations.

3. User Accounts

The Audit Tool does not require user accounts or registration. Access is anonymous and rate-limited by IP address. If you engage our paid services (web development, SEO consulting), separate service agreements may apply.

4. Intellectual Property

4.1 Our Intellectual Property

The Website, Audit Tool, and all related content — including but not limited to text, graphics, logos, icons, images, software, source code, algorithms, and the overall design and arrangement thereof — are the property of Axion Deep Labs, Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws.

"Axion Deep Digital," "DeepAudit AI," and the Axion Deep Digital logo are trademarks of Axion Deep Labs, Inc. You may not use our trademarks without our prior written consent.

4.2 Your Content

You retain ownership of any content you submit to us (contact form messages, chat conversations). By submitting content, you grant us a non-exclusive, royalty-free license to use that content for the purpose of providing our Services (e.g., responding to your inquiry).

4.3 Audit Report Ownership

Audit reports generated by the Audit Tool are provided to you for your personal or business use. You may share, print, and distribute audit reports for your audited websites. The underlying technology, algorithms, check logic, and scoring methodology remain our intellectual property.

5. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• Audit results will be accurate, complete, or current
• Following audit recommendations will improve your search engine rankings or website performance
• The Audit Tool will be able to access or fully render all websites (some sites employ bot protection that may block our tool)
• AI-generated suggestions will be suitable for your specific situation
• Google Lighthouse scores, PageRank values, or SERP data will match results from other tools

SEO is an inherently unpredictable field. Search engine algorithms change frequently. We provide analysis and recommendations based on current best practices, but we cannot guarantee specific search ranking outcomes.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AXION DEEP LABS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Unauthorized access, use, or alteration of your transmissions or content
• Any errors, inaccuracies, or omissions in audit reports or recommendations
• Any action taken based on audit results or AI-generated recommendations
• Website downtime, data loss, or service interruptions

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE FREE AUDIT TOOL EXCEED $0 (ZERO DOLLARS), AS THE SERVICE IS PROVIDED AT NO CHARGE. FOR PAID SERVICES, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Indemnification

You agree to indemnify, defend, and hold harmless Axion Deep Labs, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your use of the Services caused damage to a third party.

8. Third-Party Services and Links

Our Services integrate with and rely on third-party services including Amazon Web Services, Google APIs, DeepSeek, Site2CRM, and others. We are not responsible for the availability, accuracy, or reliability of these third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

Our Website may contain links to third-party websites. We do not endorse and are not responsible for the content or practices of any linked third-party websites.

9. SSRF Protection and Security

The Audit Tool includes server-side request forgery (SSRF) protections that prevent auditing of private IP ranges, localhost addresses, internal networks, and cloud metadata endpoints. Any attempt to bypass these protections is a violation of these Terms and may result in permanent blocking of your IP address.

10. Termination

We reserve the right to suspend or terminate your access to the Services at any time, without notice, for any reason, including but not limited to violation of these Terms, abuse of the Audit Tool, or circumvention of rate limits. Upon termination, your right to use the Services will immediately cease.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will indicate any material changes by updating the "Last updated" date at the top of this page. Your continued use of the Services after any modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

12. Modifications to Services

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services. The free Audit Tool may be converted to a paid service, have its rate limits adjusted, or be discontinued at our discretion.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Doña Ana County, New Mexico, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith informal negotiation. If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through the courts as described in Section 13.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Axion Deep Labs, Inc. regarding the use of the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.
